BOARD CONSULTANCY

There is a steadily increasing focus on the role and behaviour of boards of directors.

Our consultancy services focus in particular on three of the areas which today’s owners and chairmen of boards of directors are concerned about:

  1. Composition of the board of directors
  2. Recruitment and selection of board members
  3. Questions concerning the behaviour and the composition of the management.

1.    COMPOSITION OF THE BOARD OF DIRECTORS

What competencies does the company need from the board? What competencies does the board actually have?
When composing a new board or when evaluating an existing board, the following is essential as a starting point:

  • a description of the present strategic situation of the company
  • a description of the company’s strategic choices and vision
  • CVs of the board members
  • interviews with the client, other people with relevant information and potential interested parties.
Based on the examination of all relevant materials and discussions with relevant interested parties, the total competencies demanded from the board are defined. These are documented in a demand profile, which will then be the basis of the evaluation of the board, depending on the client’s approval.

An interview with each board member is conducted. The interview uncovers the professional background and experience, as well as competencies. A report on the total competencies of the board is then worked out, and these competencies are subsequently evaluated in relation to present and future requirements.

2.    RECRUITMENT AND SELECTION OF BOARD MEMBERS

Based on the need for new specific competencies, the Executive Search process is initiated in order to find the right board members. In most respects, this process is identical with a traditional Executive Search.

3.    QUESTIONS CONCERNING THE BEHAVIOUR AND THE COMPOSITION OF THE MANAGEMENT

This area is difficult to categorize. Often the discussion will be the beginning of a Management Audit, a Coaching Process, or an Executive Search.
